1. Definition of Authorized Independent Dealer (AID)
An Authorized Independent Dealer (AID) member can be defined solely as active AID. An active AID, you have all the privileges of AID Benefits. Inactive, suspended, or terminated AID is a former AID without the privileges of an active AID. Inactive AID will not have direct access to the PURCHASE ORDER and the discounted price structure unless his or her status has been reinstated and reactivated. More than one AID can be referred to as AIDs, active AIDs, AID members, or active AID members.

2. AID Membership Eligibility
To become an active AID member, you must meet and maintain the following legal requirements and conditions at and from the time of registration:

Be 18 years of age or older
Have a legal working visa
Have a permanent address for mailing and contact information
work as an independent contractor, for 1099 Form will be issued to each AID after the end of each fiscal year
At this time, we are not accepting AIDs registration outside the contiguous United States, except for Alaska and Hawaii. No international purchases will be available at this time.

To remain as an active AID member, you must also meet the following criteria:

Purchase or sell minimum required by Saiseiko.
Must not sell Saiseiko products low or above the Manufacturer Suggested Retail Price (MSRP)
Represent Saiseiko products with complete honesty and integrity

3. Prospective AID Membership
Any individual applying as a prospective AID can purchase at MSRP price and New Jersey sales tax will apply. Even if he or she applies and receives AID membership, previous purchase will not be eligible for AID commission.

4. Deactivation, Suspension, or Termination of AID Membership
Saiseiko USA, LLC reserves the right unconditionally to deactivate, suspend, or terminate your AID member status at any time, and the decision will be effective immediately upon notice via email, mail, phone call, or phone text message. Saiseiko USA, LLC will not tolerate misrepresentation of Saiseiko products and may pursue criminal action against gross abuse of AID privileges.

Any AID who does not meet Saiseiko monthly minimum requirement will be given a Notice of Deactivation via email, mail, phone call, or phone text message.

5. Payment
A pro forma invoice will be sent to you (Please see a sample pro forma invoice copy) via email.

Payment definitions and process
Cashier’s Check (bank check) it is a check guaranteed by your bank. All cashier’s check and money order must be payable to “Saiseiko USA.”

Money order can be purchased at any banks, united postal service offices, and select local businesses, limited to a specified maximum amount of $1000 per money order.

Major credit cards include American Express, Discover, Master Card, and Visa. You can choose to pay this traditional way.

PayPal is an authorized credit card processing system, which gives you additional security, faster service, and an added protection against fraud and identity theft. You can transfer your money to pay for your online purchases through PayPal, which transfers the fund to the merchant. It is a free service to you. To setup a PayPal account and for more information, you can visit www.paypal.com and register. If you need further assistance with PayPal, you can contact our customer service at 201-585-2460/2461. Please be prepared with your personal information (such as credit card owner name, credit card billing address, credit card expiration date and CSC number*, contact phone number, personal email address and the amount of your order.

*CSC is a card security code written on the back of your credit card. A 3-digit code is generally on the signature panel, which is on the back of your Discover, Master Card, and Visa credit. For American Express credit card, the 4-digit code is printed on the right-hand side, above the credit card numbers.

If your transaction is declined for any reason, please consult with your credit card company or PayPal. Remember, you always have the option of paying by cashier’s check or money order.

6. Sales Tax
Each AID will be issued a 1099 Form. Sales tax must be included in each sale and reported to the IRS directly by the AID. It is not our responsibility to report sales tax for our AIDs, for each AID is an independent contractor or independent business owner; consequently, AID commission will not include the sales tax. All prospective AID purchases will be charged MSRP. New Jersey tax applies only to purchases made by New Jersey residents, for our business is based out of New Jersey.

7. Shipping
An order will be shipped via United State Postal Service, FedEx or UPS. United States Postal Service (priority mail 2-4 business days), FedEx or UPS (ground service).

Every shipping charge will be assessed before any commission or taxes. New Jersey sales tax rate will apply for prospective AIDs who would like to try our products before registering as an AID.

8. Returns
All returns must be pre-approved by Saiseiko USA, LLC and must be issued a RA number before any return process can occur. Once a RA number has been issued, the RA number must be clearly written on the outside of the package and all returns must be returned in the following manner:

1. Product(s) must be returned within seven (7) days of receipt of goods.
2. Product(s) must be in like-new condition without scratches, blemishes, or damages of any kind.
3. Product(s) must be returned with all original packaging and complete accessories
4. Product(s) must be accompanied with original receipt.

All returns sent to us without a RA number and without prior authorization from our customer service will not be eligible for any refund, and we will not be responsible for your returned product(s).

9. Care Instruction
Saiseiko ionic shower heads can be cleaned with the exception of the Three-way (SA-13H) models. You can unscrew the front head of the One-way (SA-11H) models and remove any debris in the shower head. The fixed (SA-07K) model can be cleaned by unscrewing the bottom and the other components as shown in our video streaming of proper care of Saiseiko ionic shower heads.

Please be careful when handling any shower head unit for cleaning purposes. If you drop a shower head, it could crack, and Saiseiko USA, LLC will not cover the damages.

Please check the catch-screen once a week for any debris. Make sure that the valves are closed before you open the catch-filter unit and remove the debris inside. Periodic checkup is recommended for optimum use of SEM or Aquavortex Water Activator (AVS). The SEM or AVS itself does not require any maintenance after installation.

10. Caution
Do not use the CERAWARE™ tea stone without placing it in a tea bag or a tea infuser. Do not put the tea stone in your mouth for it may cause choking or damage to your teeth. Do not throw the CERAWARE™ tea stone. Please handle CERAWARE™ cooking stone with care. CERAWARE™ cooking stone will break if you drop it. CERAWARE™ cooking stone and tea stone, keep them away from children. Do not be fooled by imitations. Our cooking and tea stones are FDA approved products.

Please do not touch the SEM or Aquavortex Water Activator after installation and keep moveable objects away from it.

11. Installation

13. Warranty
Saiseiko ionic shower heads One (1) Year Limited Warranty

1. Retain your dated “Proof of original purchase” and provide a copy at the time of service.
2. Receive an authorized RA number to return defective shower head.
3. Return the product in the original packaging. It must be shipped prepaid and insured to
Saiseiko USA, LLC. Saiseiko will pay return shipping charges if the repairs are covered by the original limited warranty.

The Responsibility of Owner
Saiseiko is limited to the repair or replacement of said product, at our option and shall not include damages of any kind, whether incidental, consequential or otherwise. Some states do not allow limitations on how long an implied warranty lasts and/or do not allow the exclusion or limitation of incidental or consequential liability.

Exclusion of Certain Damages
1. Any defect caused by or resulting from improper use, service, maintenance or repair.
2. Any damage occurred during shipping or transit resulting from misuse, abuse, neglect, accident, or tampering
3. Any commercial or industrial use unless authorized in writing by Saiseiko USA, LLC
4. Any damage as a result of over powering, accident, fire, flood, or any act of God”

1. Definition of Authorized Dealer Distributor (ADD)
An Authorized Dealer Distributor (ADD) is our redistributor. An ADD could also be defined as active ADD or ADD member. More than one ADD will be referred to as ADDs, active ADDs, or ADD members. Our ADD has all the privileges of our ADD BENEFITS. Without being reinstated, inactive or suspended ADD will not have access to our Site and the privileges associated with that. Terminated ADDs are permanently removed from having access to our Site and do not have the privileges associated with that.

2. ADD Eligibility
To become an ADD, the following legal conditions must be met at and maintained from the time of registration:

Purchase minimum required by us.
Maintain good payment standing
Keep our MSRP price structure, neither selling below or above our MSRP
Represent our products with honesty and integrity

A written ADD Agreement must also be signed for ADD membership to begin.

3. International Prospective ADD
All international prospective ADDs can email info@saiseikousa.com. Please make sure you include your name, position, name of business, brief company profile, website information, and phone number.

4. Deactivation, Suspension, or Termination of ADD Membership
Saiseiko USA, LLC reserves the right unconditionally to deactivate, suspend, or terminate your ADD member status at any time. A Notice of Deactivation, Suspension, or Termination will be issued to you via email or certified mail, and the deactivation, suspension, or termination of your ADD membership will take effect after thirty (30) days. Under special circumstances, we reserve the right unconditionally to deactivate, suspend, or terminate your ADD status immediately when direct misrepresentation of Saiseiko USA, LLC or our products have been made public. In gross public misrepresentation of our company and our products, we will even take criminal action and prosecute you to the full extent of the law.

5. Reinstatement of ADD Membership
For reinstatement as an active ADD member, an inactive or suspended ADD member must fill out and submit the Active ADD Reinstatement (ADDR) Form. We will review your case thoroughly and take as much time needed to evaluate the merit of reinstating you as our ADD. Once you are reinstated as our ADD, you will once again have the benefits of being our ADD but with certain stipulations that must be met. These stipulations will be determined case by case. A second deactivation or suspension will automatically terminate your ADD membership and the benefits and privileges associated with that.

6. Sales Tax
You are responsible for your sales tax.

7. Payment
All payments are pre-paid or C.O.D unless a different payment arrangement has been agreed upon by us.

8. Freight and Shipping
Free freight is not included unless agreed upon by us. Generally, every order will be shipped within two (2) to four (4) business days. We will ship through our designated carrier. Our shipping department hours of operation are from 9:30 am to 2:00 pm Eastern Standard Time.

All boxes must be counted and missing boxes must be claimed on the Bill of Lading upon receipt of goods. All damage claims must be made within 24 hours of receipt of goods. We will not do any drop shipments.

9. Returns
We will not take returns unless it is our fault for sending the wrong items. Any return must be pre-approved by us and issued a RA number. Once a RA number has been issued, the RA number must be clearly written on the outside of the package and all returns must be returned in the following manner:

1. Product(s) must be ready for pickup.
2. Product(s) must be returned within seven (7) days of receipt of goods.
3. Product(s) must be in like-new condition without scratches, blemishes, or damages of any kind.
